How to Form an LLC in New York (2026 Guide)

New York has one of the more distinctive LLC formation processes in the country. It is not the most expensive by filing fee, but it has one requirement no other state does — the publication requirement — that catches nearly every first-time founder. Skip it and, in theory, your LLC loses the right to sue in New York courts.
Step 1 · the Formation Timeline
- Filing agency — New York Department of State, Division of Corporations
- Form — DOS-1336 (Articles of Organization)
- Filing fee — $200 est.
- Processing time — typically 7 business days by mail, faster online
- Registered agent — the Secretary of State (mandatory); optional private agent may also be designated
- Biennial Statement — $9 est. every 2 years in anniversary month
- Filing fee IT-204-LL — $25–$4,500 annually based on NY-source gross income
Step 2 · the Publication Requirement — the Piece Founders Miss
Within 120 days of formation, the LLC must publish a notice in two newspapers — one daily, one weekly — designated by the county clerk of the LLC's principal-office county. Once weekly for six consecutive weeks. Rates set by the newspapers, not the state.
Because publication cost is set by the county of the LLC's principal office, many New York founders designate an Albany principal office (where publication is cheap) even if the actual work happens in Manhattan. This is legal but has downsides — mail forwarding, address confusion, and potential complications with local business licenses. Talk to a licensed attorney before using this workaround.

Step 5 · Operating Agreement Is Legally Required
