Industry Advisors — Disclosures

Effective Date: October 30, 2025 Last Updated: October 30, 2025

This Disclosures page consolidates the professional, editorial, and commercial disclosures that apply to the Industry Advisors website, blog, Action Kits, digital products, subscription programs, and any other services we offer (collectively, the "Services"). It is intended to be read together with our Terms of Service, Privacy Policy, and Return and Refund Policy, all of which are incorporated here by reference.

1. Who We Are

Industry Advisors is a d/b/a of Kushite Capital Corporation, a Wyoming corporation. Our correspondence and legal address is 30 Wall Street, New York, NY 10005, United States. We can be reached at support@industryadv.com or legal@industryadv.com.

2. Not a Law Firm, Accounting Firm, or Investment Advisor

Industry Advisors is not a law firm, an accounting firm, a certified public accountancy practice, a registered investment advisor, or a broker-dealer. Our personnel are not licensed attorneys, certified public accountants ("CPAs"), enrolled agents (unless expressly identified as such in a signed engagement), financial advisors, or investment advisors. No attorney-client, accountant-client, or fiduciary relationship is created by your use of the Services, your purchase of a product, your submission of an intake form, or your correspondence with our team.

Industry Advisors provides administrative business support, tax-resource information, and business-formation education only. Nothing on our Services should be interpreted as, or relied upon as, personalized legal advice, tax advice, accounting advice, investment advice, financial-planning advice, or professional counsel of any kind. For personalized advice, please consult a licensed professional in your jurisdiction.

3. Educational and Informational Purpose

All content — including articles, blog posts, guides, checklists, spreadsheets, templates, courses, podcast episodes, video content, Action Kits, and portal materials — is provided for general educational and self-management purposes. It is written for a broad audience and does not consider your specific facts, jurisdiction, industry, business stage, or personal circumstances.

You are solely responsible for evaluating the applicability of any content to your situation and for confirming information with primary sources (state Secretary of State portals, the Internal Revenue Service, your state Department of Revenue, FinCEN, USPTO, or your professional licensing board) before acting on it.

4. Fees, Filing Costs, and Timing Estimates

Where our Services quote government filing fees, state-specific pricing, franchise-tax minimums, publication requirements, formation timelines, or similar figures, those numbers are estimates as of the date of publication and are subject to change without notice. Government fees and processing times change frequently and vary by state, entity type, and expedite tier.

Always verify current fees and timelines directly with the applicable government agency before filing or budgeting. Industry Advisors is not responsible for reliance on outdated or state-dependent estimates.

5. State-Specific Content

Our state-focused guides (Delaware, Wyoming, California, New York, Texas, Florida, Illinois, and others) summarize general considerations under each state's laws as we understand them at the time of writing. Statutes, filing procedures, tax rates, and administrative interpretations change often. Nothing on these pages constitutes an opinion on the laws of any state, and nothing establishes an attorney-client relationship with anyone in any state.

If a state-specific decision (formation, foreign qualification, dissolution, franchise-tax filing, publication compliance) has meaningful legal or tax consequences for you, consult a licensed professional in that state.

6. Tax Content

Tax content on the Services (including S-corp election discussions, quarterly-estimate guides, deduction summaries, EIN walkthroughs, BOI/CTA content, home-office rules, and similar) is educational and general. It is not tax advice and does not consider your filing status, income, expenses, entity structure, state of residence, prior-year positions, or other individualized facts. We are not a tax-preparation firm and are not authorized to represent you before the Internal Revenue Service or any state or local tax authority.

Consult a CPA, enrolled agent, or tax attorney before making any material tax decision.

7. Registered-Agent and Business-Formation Services

Where Industry Advisors offers registered-agent service, business-formation preparation, or filing-assistance services, we act as a document-preparation and administrative-support provider. We are not your legal representative, and our work is limited to the tasks described in the applicable service page or engagement.

Government filings are irreversible once submitted. See our Return and Refund Policy for the treatment of state filing fees, franchise taxes, publication fees, and other government/pass-through costs — those amounts are non-refundable once remitted on your behalf.

8. Bookkeeping and Accounting Software Integrations

Our bookkeeping services organize transactions, reconcile accounts, and produce management reports based on the source data you provide (bank feeds, credit-card feeds, receipts, invoices). We do not audit, review, or attest to your financial statements, and our work does not constitute a compilation, review, or audit as those terms are defined by the AICPA.

When you elect to connect a third-party integration (QuickBooks Online, Stripe, Shopify, banking feeds, or similar), you authorize the sharing of the associated data with that vendor under its own terms and privacy policy.

9. Testimonials, Reviews, and Case Studies

Testimonials and reviews displayed on the Services are the individual experiences of the users who provided them and are not necessarily representative of the experience of any other user. Individual results vary based on state, industry, entity type, complexity, and the user's own effort. Testimonials are used with the reviewer's permission and, unless otherwise noted, have not been edited except for grammar or length.

No compensation was provided in exchange for a favorable testimonial, and we do not accept payment to inflate ratings. Where a testimonial is provided by a customer who also participates in a referral or affiliate program, that relationship is disclosed inline.

10. Forward-Looking and Aspirational Statements

Statements on the Services regarding potential outcomes — such as tax savings, time saved, revenue growth, or business results — are illustrative and aspirational. They describe possibilities under general assumptions and are not guarantees of any particular outcome. Actual results depend on many factors specific to your business, market, and execution, most of which are outside our control.

11. Affiliate, Referral, and Partnership Disclosures

Industry Advisors may, from time to time, include links to third-party products, services, or software that we use or recommend. Some of these links may be affiliate links, meaning that if you click through and make a qualifying purchase, we may receive a referral commission at no additional cost to you. Where we participate in an affiliate program, we will make a reasonable effort to disclose the relationship inline (for example, on the specific page or in the article footer).

Our editorial recommendations are not driven by affiliate compensation. We recommend third-party tools only when we believe they provide value to our audience, and we do not accept compensation to publish a specific opinion.

We may also participate in cross-referral or reseller arrangements with licensed professionals (attorneys, CPAs, insurance brokers, banks). When we refer you to a licensed professional, our role is limited to introduction — the resulting engagement, if any, is directly between you and that professional, on their terms.

12. Sponsored and Promotional Content

Where content on the Services is sponsored, paid, or produced in cooperation with a third party, we will identify it as such (for example, by using the labels "Sponsored," "Advertisement," "Paid Partnership," or "In collaboration with"). Sponsored content is separated from our editorial content and does not necessarily reflect our independent view.

13. Third-Party Content, Trademarks, and Sources

References on the Services to third-party companies, products, services, government agencies, statutes, forms, or software (for example, IRS Form 2553, USPTO, FinCEN, Delaware Division of Corporations, Wyoming Secretary of State, QuickBooks, Stripe, Shopify) are for informational purposes only. We are not affiliated with, endorsed by, or acting on behalf of any government agency or any private trademark owner unless expressly stated. All trademarks, service marks, and trade names referenced remain the property of their respective owners.

14. Data Security and Portal Uploads

For sensitive documents (tax returns, banking documents, government correspondence, identification), please upload through portal.industryadv.com, which uses TLS in transit and encryption at rest. Please do not email sensitive documents. We will never ask for your Social Security number, EIN, or bank credentials by unencrypted email.

See our Privacy Policy for details on how we collect, use, disclose, and safeguard information.

15. Compliance with Applicable Laws — Your Responsibility

You are responsible for complying with all federal, state, local, and industry-specific laws that apply to your business, including but not limited to: entity-formation and annual-report requirements, franchise taxes, sales and use taxes, employment and payroll obligations, licensing and permitting, occupational-licensing rules, professional-conduct rules, industry-specific regulations (for example, healthcare privacy, financial services, food handling), the Corporate Transparency Act / BOI reporting rules administered by FinCEN, and any consumer-protection or advertising rules that apply to your industry.

We identify common compliance obligations in our educational content, but we do not — and cannot — provide a complete list applicable to your specific business.

16. AI-Assisted Content

Some educational content on the Services may be drafted or refined with the assistance of artificial-intelligence tools. All AI-assisted content is reviewed by a human editor before publication for factual accuracy and alignment with our editorial standards. AI-assisted content is subject to the same disclaimers and limitations described elsewhere in this Disclosures page.

17. Estimates, Errors, and Corrections

We take reasonable care to ensure content is accurate and current, but errors do occur. If you spot an error — a stale fee, an outdated deadline, a broken link, or a mistake in a template — please email support@industryadv.com and we will review and correct it. Where a correction materially affects a published article, we will annotate the update at the top or bottom of the article.

18. No Guarantees; Limitation of Liability

Your use of the Services is at your own risk. We disclaim all warranties, express or implied, to the fullest extent permitted by applicable law. Our aggregate liability to you is limited as described in the Limitation of Liability section of our Terms of Service.

19. Governing Law and Dispute Resolution

These disclosures and any related dispute are governed by the laws of the State of New York and the Federal Arbitration Act, and are subject to the binding individual arbitration and class-action waiver in Section 15 of our Terms of Service.
